These Terms of Service ("Terms") govern your access to and use of the Cmd+Ctrl application and related services (the "Service") provided by Cmd+Ctrl LLC ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Cmd+Ctrl is an agent orchestration platform that allows users to interact with AI coding agents through a web and mobile interface. The Service enables you to start conversations with AI agents, view streaming responses, manage sessions across devices, and receive notifications about agent activity.

3. Account Registration

To use the Service, you must create an account using Google or GitHub authentication. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Generate, store, or transmit malicious code or malware
• Attempt to gain unauthorized access to systems or networks
• Interfere with or disrupt the Service or servers
• Use the Service to harm, harass, or defraud others
• Generate content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Circumvent any access or usage limitations

5. AI-Generated Content

The Service uses artificial intelligence to generate responses and perform tasks. You acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or appropriate
• You are responsible for reviewing and validating any AI-generated code or content before use
• We do not guarantee that AI-generated content will be error-free or suitable for any particular purpose
• AI agents may make mistakes, and you should exercise judgment when relying on their output

6. Your Content

You retain ownership of any content you submit to the Service, including code, prompts, and messages ("Your Content"). By submitting Your Content, you grant us a limited license to process and transmit it as necessary to provide the Service.

You represent that you have all necessary rights to Your Content and that Your Content does not violate any third-party rights or applicable laws.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Cmd+Ctrl LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

8. Third-Party Services

The Service integrates with third-party AI providers and authentication services. Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the content, privacy practices, or conduct of third-party services.

9. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service at any time.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMD+CTRL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE SERVICE
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
• ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE
• ANY ERRORS OR OMISSIONS IN AI-GENERATED CONTENT
• ANY CONTENT OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE

12. Indemnification

You agree to indemnify and hold harmless Cmd+Ctrl LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also delete your account at any time.

14. Cancellation and Refunds

You may cancel your paid subscription at any time from your account settings or by contacting us at support@cmd-ctrl.ai. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• Your account will revert to the Free plan at the end of the billing period

All subscription payments are non-refundable. We offer a 7-day free trial so you can evaluate the Service before subscribing. If you have questions or concerns about your subscription, contact us at support@cmd-ctrl.ai.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Colorado.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cmd+Ctrl LLC regarding the Service and supersede any prior agreements.
